TCS Acquires Porsche’s MHP Consultancy in Landmark India-Germany Tech Deal

STUTTGART — For 4,500 engineers and consultants at MHP, the name that arrived with Monday’s announcement was not one anyone in Ludwigsburg had expected: Tata Consultancy Services, India’s largest technology company, would be their new owner. The deal ends three decades of MHP’s existence as a Porsche subsidiary and marks the latest instance of a European industrial company deciding that running a global IT consultancy was never really part of the plan.

Porsche AG confirmed it had agreed to sell MHP — its management and IT consultancy arm headquartered near Stuttgart — to TCS in a statement. Financial terms were not disclosed. The transaction requires regulatory approval and is expected to close in the coming months. MHP will keep its name and operate as an independent consultancy within the Tata Group — though the practical meaning of independence inside a 600,000-person conglomerate is something that MHP’s future clients will be watching closely.

The sale follows directly from Porsche’s “Sportwagenschmiede 35” strategy, a corporate reorganization that bets everything on the maker of the 911 and the Taycan returning to its roots as a pure sports car business. Chief Executive Michael Leiters has argued the case publicly for more than a year. “Porsche is taking another important step in its strategy to focus resolutely on its core business with the transfer of MHP to Tata Consultancy Services,” Leiters said. The implication is that a 4,500-person global consultancy is an expensive distraction for a company that wants to make fast cars.

MHP spent 30 years building a reputation as the IT partner European carmakers called when they needed to rebuild supply chains, retool assembly lines, or navigate the digital demands of an increasingly connected vehicle fleet. The consultancy’s client base extends across automotive and manufacturing — sectors now grappling with what artificial intelligence does to their operational assumptions. TCS, which reported $29 billion in revenue in its last full fiscal year and has been expanding its European AI services practice, sees that disruption as its primary opportunity. MHP’s embedded relationships with German auto manufacturers are not the kind of asset that can be won from a contract tender.

The acquisition fits a pattern that has accelerated sharply across European industry. Companies that built internal IT arms in the 1990s and 2000s — when software customization was still a competitive differentiator — are now offloading those arms to Indian technology majors. Infosys, Wipro, and TCS have each completed European services acquisitions in the past three years. The calculus is consistent on both sides: European industrials get capital and a streamlined corporate structure; Indian IT companies get client relationships, domain expertise, and talent that would take years to cultivate organically.

For TCS, the MHP deal also secures a permanent foothold in Stuttgart, the gravitational center of the German automotive industry. MHP’s neighbors in the region include BMW’s Munich headquarters, Mercedes-Benz’s campus, and the global engineering suppliers that keep the supply chain moving. India tech workers in the US have faced steep visa cost increases under the Trump administration, pushing Indian IT companies to prioritize European expansion as a lower-friction growth path. MHP’s existing workforce — already established in Germany — removes that friction entirely.

The three-way cooperation agreement announced alongside the transaction — Porsche, TCS, and MHP partnering on artificial intelligence and digital transformation after the sale closes — uses language standard in corporate deal announcements, and carries the vagueness that tends to accompany it. It does not specify which Porsche systems TCS will work on, which AI applications MHP will develop, or how the commercial relationship will be structured once the ownership link is severed. That detail, if it exists, is not yet public.

The regulatory timeline is the next open question. Germany has grown sensitive about foreign acquisitions of companies it considers strategically significant — the federal government blocked several Chinese technology acquisitions between 2021 and 2024. MHP is an IT consultancy rather than a semiconductor or energy infrastructure company, but its automotive clients include firms Germany regards as national industrial champions. Whether that sensitivity extends to an Indian buyer at a moment when Germany’s government has been actively courting Indian investment to offset slowing domestic growth is unclear.

MHP’s employees in Ludwigsburg now face the standard post-announcement waiting period: the months between deal signing and regulatory clearance when the terms of integration are not yet set and the promises made in press releases remain untested. What TCS has offered in terms of career continuity, compensation, and team structure has not been disclosed. The outcome for MHP’s client relationships — and whether companies that hired the firm for its Porsche pedigree will renew contracts once that affiliation is history — is the question that no deal announcement can answer in advance.
