Marriott International and the Lim Company were the parties to an operating agreement for Marriott to operate the Marriott Warsaw hotel on behalf of the Lim Company.
During the first Covid period, Marriott denied a request by Lim to close the hotel. This was not an unusual or unreasonable request. Hotels were closed throughout Poland and most locations worldwide.
It is acknowledged that the hospitality sector suffered greatly due to COVID. The restrictions imposed due to the pandemic created an effective collapse of the hotel sector.
Income from hotel bookings evaporated.
The denial of Lim’s request to close the hotel meant that the ongoing expenses and running costs that would be incurred would be substantial for the Lim Company.
The agreement between Lim and Marriott would make Lim responsible for maintaining running costs, without any likelihood of receiving any income to set against these losses.
The disagreement which subsequently arose was not complex. Despite that, the Lim Company’s request to close during COVID, refused by Marriott, was held to be unreasonable by the Lim Company.
Details of the Criminal Investigation
Following the issue of whether or not to open the Marriatt Warsaw during the first lockdown phase of COVID, Lim’s opinion was that it was a matter which required a legal resolution.
It led to the Lim Company filing a complaint for breach of contract.
After the filing of the complaint, further issues arose which served to elevate the matter into a criminal investigation.
Allegations of money laundering, breach of contract, theft of funds and additional financial irregularities now formed a part of legal proceedings.
Lim additionally claimed that Marriott had used Lim Company funds to pay other Marriott subsidiaries to reduce their losses during the COVID lockdowns.
Lim secured a contract with an advertising company to rent a billboard set against the facade of the Marriott hotel. It would be a substantial advertising installation, and the income essential for the Lim Company at that particular time.
Marriott denied permission for the advertisement contract which represented further losses for the Lim Company during the COVID period.
Further Details of the Criminal Investigation
Due to the nature of the criminal investigations, this drew the attention of the Polish government and authorities.
This escalation was significant and serious for Marriott, and has subsequently has raised a number of concerns about the company’s global reputation.

Zurich rejected the claim, pointing to an exclusion clause in the contract with Marriott. Lim, the hotel owners claim that the exclusion clause was never a part of their original agreement.
After Zurich had rejected the initial claim by Lim, Lim turned to Marriot to support their compensation claim, but Marriott maintained the same position as Zurich
Consequences
Marriott International has achieved substantial financial and operational achievements in recent years and this brings an added responsibility to its corporate reputation and worldwide brand.
The Marriott brand is highly prized and reflects the quality and sophistication their locations strive for.
Legal matters are always difficult to accommodate, in any positive fashion, and it is not inconceivable that the Marriott brand will suffer somewhat from the perception of proposed and actual legal action.
Because of the criminal element of the investigation, these issues will now also be scrutinized by Polish authorities and government.
It is reasonable to assume that the legal proceedings will also be scrutinized by corporate and financial authorities and this might bring further issues for Marriott to respond to
Maintaining brand image and corporate reputation during such a scenario could be both difficult and testing for Marriott International.
Being involved in an initial disagreement with a partner organization is, in itself, not groundbreaking.
For matters to develop, to include allegations of financial mismanagement, corporate misdemeanor, contract breaking and underhand tactics will all be significant to Marriott International.
